By accessing the Services, creating an account, booking a lesson, purchasing a product or package, or selecting a box indicating your acceptance, you agree to these Terms and our Privacy Policy.

Do not use or purchase the Services if you do not agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to create an account, purchase lessons, or make payments through MandarinVibe.

A parent or legal guardian may purchase and manage lessons for a minor student. The adult purchasing the Services is responsible for:

  • Providing accurate student information

  • Supervising the minor’s use of the website and app

  • Ensuring the minor follows these Terms

  • Managing bookings, payments, and communications

  • Providing any consent legally required for the minor’s participation

Children under 13 may not independently create an account, make a purchase, or submit personal information through the Services.

2. MandarinVibe Services

MandarinVibe provides Mandarin Chinese education and related services that may include:

  • Private 30-minute Mandarin lessons

  • Private 60-minute Mandarin lessons

  • Travel Chinese lessons

  • Mandarin lessons for work and business

  • Everyday conversation practice

  • Pronunciation and tone practice

  • Beginner support

  • Cultural learning

  • Digital study materials

  • Lesson packages

  • Other educational products and services shown on the website or app

Specific lesson content, duration, format, availability, and pricing will be shown on the applicable product or booking page.

We may add, remove, revise, or discontinue Services at any time. Changes will not eliminate valid prepaid lesson credits without providing an appropriate replacement, extension, credit, or refund where required.

3. Educational Purpose

MandarinVibe provides educational language-learning services.

Lesson participation does not guarantee:

  • Mandarin fluency

  • A particular level of proficiency

  • A specific test or examination score

  • Employment or career advancement

  • Admission to a school or program

  • Successful travel, immigration, or visa results

  • A specific business, academic, or personal outcome

Results vary based on attendance, practice, effort, prior experience, learning needs, and other individual circumstances.

Travel, cultural, workplace, and business examples are provided for language-learning purposes. They are not legal, immigration, financial, employment, safety, or professional advice.

4. Accounts

Certain features may require a MandarinVibe account.

You agree to:

  • Provide accurate and current information

  • Keep your login credentials confidential

  • Use only your own account

  • Notify us promptly of suspected unauthorized access

  • Update information when it changes

  • Accept responsibility for activity performed through your account

You may not sell, share, transfer, or allow another person to use your account without written permission from MandarinVibe.

We may suspend or terminate an account where we reasonably believe there has been fraud, unauthorized use, harassment, abuse, a security threat, or another violation of these Terms.

5. Booking Private Lessons

Private lessons are subject to Wen’s schedule and availability.

A booking is not confirmed until:

  • The booking process has been completed

  • Any required payment has been received

  • You receive a booking confirmation

You are responsible for confirming:

  • The lesson date

  • The lesson start time

  • The applicable time zone

  • Whether the lesson is online or otherwise arranged

  • Any technical or preparation requirements

Times shown through the booking system may adjust based on the time zone selected by your device or account. You are responsible for ensuring that your calendar and time-zone settings are correct.

We may refuse or cancel a booking where there is a payment problem, scheduling error, suspected fraud, abusive conduct, or another legitimate operational concern.

6. Online Lesson Requirements

For online lessons, you are responsible for having:

  • A reliable internet connection

  • A compatible computer, tablet, or mobile device

  • Working speakers or headphones

  • A microphone

  • A camera when required or preferred

  • Access to the designated video-conferencing platform

  • A quiet and appropriate learning environment

You should test your equipment before the scheduled lesson.

If a lesson is significantly interrupted by a technical problem caused by MandarinVibe, we will reasonably attempt to resume, extend, reschedule, or credit the affected lesson.

Technical problems arising from the student’s internet connection, device, software, environment, or failure to join on time generally do not require a refund. MandarinVibe may provide a courtesy reschedule or credit at its discretion.

7. Cancellations and Rescheduling

Student cancellations

You may cancel or reschedule a private lesson without penalty by providing at least 24 hours’ notice before the scheduled starting time.

For an individual lesson purchased separately, a timely cancellation may be:

  • Rescheduled once, or

  • Refunded to the original payment method

For a lesson booked with a package credit, a timely cancellation will return the credit to the package.

Late cancellations

Cancellations or rescheduling requests made less than 24 hours before the scheduled lesson may be charged in full or counted as one used package credit.

Missed lessons

If you do not attend a lesson and did not provide the required notice, the lesson will be treated as a no-show and will not ordinarily be refunded or restored.

Late arrival

Lessons begin and end at the scheduled times.

If you arrive late, the lesson may still end at the originally scheduled time. Arriving more than 15 minutes late without contacting MandarinVibe may be treated as a no-show.

Emergencies

MandarinVibe understands that emergencies occur. We may waive a late-cancellation or no-show charge at our reasonable discretion, but such waivers are not guaranteed.

Cancellations by MandarinVibe

If MandarinVibe or Wen must cancel a lesson, you may choose:

  • A rescheduled lesson

  • Restoration of the package credit

  • An account credit

  • A refund for the affected lesson

MandarinVibe is not responsible for additional travel, accommodation, lost income, or incidental expenses arising from a changed or canceled lesson.

8. Lesson Packages

MandarinVibe may offer prepaid packages, including 5-lesson and 10-lesson packages.

Unless the product page states otherwise:

  • A 5-lesson package expires six months after purchase.

  • A 10-lesson package expires twelve months after purchase.

  • Packages are valid for one student.

  • Packages are nontransferable.

  • Package credits have no cash value.

  • Credits may not be resold.

  • Each completed, late-canceled, or missed lesson uses one applicable credit.

  • Timely cancellations return the credit to the package.

  • Packages do not renew automatically.

You are responsible for scheduling and using lessons before the expiration date.

MandarinVibe may extend a package due to Wen’s unavailability, a documented emergency, or another exceptional circumstance. Extensions are discretionary unless applicable law requires otherwise.

Promotional, complimentary, or bonus credits may have different expiration rules displayed when they are issued.

9. Package Refunds

An unused lesson package may be canceled and refunded if you contact MandarinVibe within seven days of purchase and no lesson credit has been booked or used.

After any package credit has been used, the package is generally nonrefundable except:

  • Where required by applicable law

  • Where MandarinVibe is unable to provide the purchased Services

  • Where MandarinVibe expressly agrees otherwise in writing

Approved refunds will be returned to the original payment method when reasonably possible.

Processing times may depend on the payment provider, bank, credit-card issuer, or app store.

Expired, missed, late-canceled, complimentary, or promotional credits are not refundable unless required by law.

10. Prices, Payments, and Taxes

Prices are displayed on the applicable product, package, lesson, or checkout page.

You agree to pay:

  • The displayed purchase price

  • Any applicable taxes

  • Any clearly disclosed processing or transaction charges

  • Any currency-conversion or foreign-transaction charges imposed by your bank or payment provider

Prices may change at any time. A price change will not alter a purchase already completed unless the purchase is canceled and rebooked.

We may correct obvious pricing, typographical, or technical errors. If an error affects a completed purchase, we will notify you and offer an appropriate correction, cancellation, credit, or refund.

Payments may be processed by third-party providers. Their additional terms and privacy policies may apply.

If a payment is declined, reversed, disputed, or charged back, MandarinVibe may suspend the related booking, package, product access, or account while the issue is investigated.

11. App Store Purchases

Purchases made through Apple, Google, or another app-store provider may also be subject to that provider’s payment, refund, subscription, and account terms.

Where the app-store provider controls the transaction, requests for billing assistance or refunds may need to be submitted directly to that provider.

MandarinVibe cannot guarantee that it can directly modify or refund a transaction controlled by an app store.

12. Digital Products and Learning Materials

MandarinVibe may provide downloadable or online materials, including:

  • Audio lessons

  • Video lessons

  • Vocabulary lists

  • Phrase guides

  • Worksheets

  • Flashcards

  • Study guides

  • Pronunciation exercises

  • Travel materials

  • Cultural materials

  • PDF files

  • App-based learning content

Unless otherwise stated, purchasing or accessing these materials gives you a limited, personal, nonexclusive, nontransferable, revocable license to use them for your own educational purposes.

You may not:

  • Resell or redistribute the materials

  • Upload them to public or shared websites

  • Copy them for commercial use

  • Share purchased downloads with other people

  • Remove copyright or ownership notices

  • Modify and present them as your own

  • Use them to operate another teaching or tutoring business

  • Use them to train an artificial-intelligence system without written permission

Digital products are generally nonrefundable after access, download, or delivery, except where required by law or where the file is materially defective and cannot be replaced.

13. Intellectual Property

The MandarinVibe Services and their content are owned by MandarinVibe or used with permission.

Protected content may include:

  • The MandarinVibe name and branding

  • Logos and visual identity

  • Website and app designs

  • Illustrations

  • Photographs

  • Videos

  • Audio recordings

  • Lesson plans

  • Written materials

  • Course titles

  • Graphics

  • Icons

  • Worksheets

  • Guides

  • Software

  • Product descriptions

  • Marketing materials

Nothing in these Terms transfers ownership of MandarinVibe intellectual property to you.

You may not copy, reproduce, publish, distribute, display, adapt, sell, license, scrape, or commercially exploit our content without prior written permission, except where applicable law expressly permits otherwise.

14. Recording Lessons

You may not record, photograph, livestream, transcribe, or distribute a private lesson without Wen’s prior permission.

MandarinVibe will not intentionally record a private lesson without notifying the participant and obtaining any consent required by applicable law.

Permission to record one lesson does not grant permission to publish, sell, share, or distribute that recording.

MandarinVibe will not use a student’s image, voice, lesson recording, or testimonial in advertising without permission.

15. User Conduct

You agree not to use the Services to:

  • Harass, threaten, abuse, or discriminate against Wen, another student, or any other person

  • Submit unlawful, obscene, hateful, or harmful content

  • Impersonate another person

  • Infringe copyrights, trademarks, privacy rights, or other rights

  • Attempt to gain unauthorized access to an account or system

  • Introduce malware or harmful code

  • Interfere with the website, app, booking system, or lessons

  • Scrape, harvest, or automatically collect data

  • Reverse engineer or improperly copy the app

  • Share login credentials or paid materials

  • Engage in fraud or payment abuse

  • Use a lesson for an unlawful or unsafe purpose

  • Record or distribute a lesson without permission

MandarinVibe may end a lesson immediately and suspend or terminate access for conduct that is threatening, abusive, sexually inappropriate, discriminatory, disruptive, fraudulent, or unsafe.

Where a lesson is ended due to serious student misconduct, no refund or replacement credit is required except where applicable law provides otherwise.

16. Student Content and Submissions

You retain ownership of original materials you submit, such as homework, questions, writing samples, or pronunciation recordings.

You give MandarinVibe a limited permission to access, store, reproduce, and use those materials only as reasonably necessary to:

  • Provide the requested lesson or feedback

  • Operate the Services

  • Respond to your request

  • Maintain appropriate business records

  • Protect the security and legal rights of MandarinVibe and its users

You represent that you have the right to submit the materials and that doing so does not violate another person’s rights.

17. Feedback and Reviews

You may voluntarily submit feedback, suggestions, ratings, or reviews.

You agree that MandarinVibe may use nonconfidential suggestions and feedback to improve its Services.

We will obtain permission before using your name, image, photograph, or identifiable testimonial in promotional materials, unless you have already submitted it through a feature that clearly states it will be publicly displayed.

Reviews must reflect genuine experiences and may not contain unlawful, defamatory, harassing, fraudulent, or personally identifying information about another person.

18. Third-Party Services

MandarinVibe may rely on or link to third-party services, including:

  • Wix

  • Payment processors

  • Video-conferencing platforms

  • Email providers

  • Calendar providers

  • Apple App Store

  • Google Play

  • Analytics providers

  • Social-media platforms

Third-party services are governed by their own terms and privacy policies.

MandarinVibe is not responsible for the independent conduct, content, availability, policies, or security of a third-party service.

A link or integration does not necessarily mean MandarinVibe endorses every product, statement, or practice of that third party.

19. Mobile App License

Subject to these Terms, MandarinVibe grants you a limited, personal, nonexclusive, nontransferable, revocable license to download and use the MandarinVibe mobile app on devices you own or control, in accordance with applicable app-store rules.

You may not:

  • Copy or commercially distribute the app

  • Rent, lease, sell, sublicense, or transfer the app

  • Reverse engineer or attempt to extract source code

  • Circumvent security or access controls

  • Modify the app to create an unauthorized derivative product

  • Use the app in violation of applicable law

For an iOS version of the app, Apple’s Standard Licensed Application End User License Agreement applies in addition to these Terms unless MandarinVibe provides a separate custom end-user license agreement.

If these Terms conflict with mandatory app-store terms, the applicable app-store terms will control to the extent of the conflict.

20. Privacy

Our collection, use, storage, and disclosure of personal information are described in the MandarinVibe Privacy Policy.

By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

21. Availability and Changes

We work to keep MandarinVibe available and functional, but we do not guarantee uninterrupted or error-free access.

Access may be interrupted because of:

  • Maintenance

  • Software updates

  • Internet outages

  • Hosting problems

  • Security incidents

  • Third-party service failures

  • Equipment failure

  • Events outside our reasonable control

We may change the website, app, learning materials, features, or technical requirements when reasonably necessary.

22. Suspension and Termination

You may stop using the Services at any time.

MandarinVibe may suspend or terminate your access where reasonably necessary because of:

  • A violation of these Terms

  • Abusive or unsafe conduct

  • Fraud or suspected fraud

  • Unauthorized payments or chargebacks

  • Security concerns

  • Illegal activity

  • Misuse of educational materials

  • Repeated disruption of lessons

  • A legal or regulatory requirement

  • Discontinuation of the Services

Where reasonably possible, we will provide notice and an opportunity to resolve the issue.

Termination does not eliminate payment obligations already incurred.

Sections concerning payments, intellectual property, disclaimers, liability, disputes, and other provisions that logically should survive will remain effective after termination.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

MandarinVibe does not guarantee that:

  • The Services will always be available

  • Every error will be corrected immediately

  • Every feature will work on every device

  • Lesson materials will meet every individual learning need

  • A student will achieve a particular outcome

  • Third-party platforms will remain uninterrupted

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

24. Limitation of Liability

To the fullest extent permitted by law, MandarinVibe will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of income, data, opportunity, travel arrangements, or business results arising from use of the Services.

To the fullest extent permitted by law, MandarinVibe’s total liability for a claim arising from a purchased Service will not exceed the amount you paid MandarinVibe for the Service giving rise to the claim during the 12 months before the event that caused the claim.

These limitations do not apply where liability cannot lawfully be limited, including liability for fraud, willful misconduct, or another non-waivable legal obligation.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold MandarinVibe and its owner, teacher, contractors, and service providers harmless from claims, damages, losses, and reasonable expenses arising from:

  • Your unlawful use of the Services

  • Your material violation of these Terms

  • Your infringement of another person’s rights

  • Content you submit

  • Fraudulent or abusive conduct through your account

This section does not require you to indemnify MandarinVibe for its own fraud, willful misconduct, or liability that cannot legally be excluded.

26. Events Beyond Reasonable Control

MandarinVibe will not be responsible for delay or failure caused by events outside its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Power or internet outages

  • Illness or medical emergencies

  • Government actions

  • War, terrorism, or civil unrest

  • Labor disputes

  • Transportation disruptions

  • Epidemics or public-health emergencies

  • Failure of a hosting, payment, calendar, or video platform

When possible, we will make reasonable efforts to reschedule affected lessons or provide an appropriate credit or refund.

27. Governing Law

These Terms are governed by the laws of [STATE OR COUNTRY OF BUSINESS REGISTRATION], without regard to conflict-of-law principles.

Mandatory consumer protections available under the laws of your place of residence remain unaffected where they cannot legally be waived.

28. Resolving Disputes

Before filing a formal legal claim, you agree to contact MandarinVibe and make a good-faith effort to resolve the dispute informally.

Send a written description of the issue to:

Email: [BUSINESS OR LEGAL EMAIL ADDRESS]
Subject: Legal Notice

The notice should include:

  • Your name

  • Account email

  • Relevant booking or order number

  • A description of the issue

  • The resolution you are requesting

If the dispute is not resolved within 30 days, either party may pursue remedies available under applicable law.

Unless mandatory law requires otherwise, legal proceedings must be brought in the courts located in [COUNTY, STATE OR OTHER JURISDICTION].

29. Changes to These Terms

We may update these Terms to reflect changes in:

  • Our Services

  • Pricing structures

  • Technology

  • Business practices

  • Service providers

  • Legal requirements

The updated Terms will display a new “Last Updated” date.

If a change is material, we may provide additional notice through the website, app, email, or account notification.

Changes will not retroactively remove material rights associated with a completed purchase unless permitted by law and appropriate notice or consent is provided.

Continued use of the Services after updated Terms take effect constitutes acceptance of those Terms.

30. General Provisions

Entire agreement

These Terms, the Privacy Policy, the applicable product or booking page, and any additional written policy presented at purchase form the agreement between you and MandarinVibe regarding the Services.

Order of priority

If an applicable product page contains a specific term that conflicts with a general provision in these Terms, the specific product-page term controls for that purchase.

Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

No waiver

Failure to enforce a provision does not waive the right to enforce it later.

Assignment

You may not assign or transfer your rights under these Terms without written permission. MandarinVibe may assign its rights and obligations as part of a legitimate business transfer, restructuring, or sale.

Headings

Section headings are included for convenience and do not change the meaning of these Terms.
